Homeowner and condominium association Board members are charged with making decisions for the good of the community. They hold a vast array of responsibilities that impacts the future of your community. That’s why it’s important that ethical standards be at the foundation of every decision. There are “Three D’s” that your members should follow when conducting association business—duty of care, duty of loyalty and the duty of obedience.
Duty of Care
The duty of care establishes the expectation that Board members stay informed and participate in association business. This duty not only includes financial assets. It consists of acting on behalf of the association to protect the community’s reputation and physical assets. Following the duty of care means that HOA Boards and individual Board members act competently and prudently when making association decisions.
Duty of Loyalty
The duty of loyalty requires setting aside personal agendas and/or professional interests when you are acting on behalf of the association. Board members should also avoid conflicts of interest or simply acting on behalf of just one or two homeowners. Every Board member must be faithful to the association and act in the best interest of the entire community.
Duty of Obedience
The duty of obedience refers to the Board member’s obligation to comply with federal and state association laws and adhere to the association’s bylaws and governing documents. Board members need to understand the effect laws have on the community and association decisions. This knowledge enables the Board to make decisions that fall within the scope of the law as well as HOA governing documents while supporting the goals of the community.
It’s important to recognize that responsibilities and actions of individual Board members overlap with the responsibilities of the Board as a whole. So, every Board member needs to adhere to the “Three D’s” as he or she performs HOA duties.
